Scribe Songs — Creator Partner Agreement

1. Introduction & Acceptance

This Creator Partner Agreement ("Agreement") governs the relationship between Kivfer Holdings Inc., doing business as Scribe Songs ("Scribe," "we," "us," or "our"), and you, the individual or entity registering as a Creator on the Scribe Songs platform ("Creator," "you," or "your").

Scribe Songs operates a technology platform at scribesongs.com that enables Creators to offer custom, AI-assisted song creation services to their audience through a branded storefront. By completing the Creator registration process and clicking "I Agree" (or equivalent acceptance action), you confirm that you have read, understood, and agree to be bound by this Agreement in full.

If you are registering on behalf of a business or organization, you represent that you have authority to bind that entity to this Agreement.

This Agreement becomes effective on the date you complete registration and receive approval from Scribe to operate a Creator storefront.

2. Definitions

2.1 "Platform" means the Scribe Songs website, web application, APIs, and all services available at scribesongs.com and its subdomains.

2.2 "Creator" or "Brand" means an individual, artist, organization, or business entity approved by Scribe Songs to operate a branded storefront and offer custom song services through the Platform.

2.3 "Creator Storefront" means the branded page hosted by Scribe Songs (e.g., scribesongs.com/brandname) through which Customers discover and purchase the Creator's song offering.

2.4 "Sonic Profile" means the creative configuration established by a Creator that defines the style, genre, focus, and other attributes of songs produced under their brand.

2.5 "End Customer" or "Customer" means any individual who purchases a Song or Merch through a Creator Storefront.

2.6 "Song" means a custom, AI-assisted musical composition produced through the Platform, including lyrics, artwork, and the distributed recording.

2.7 "Merch" means print-on-demand physical merchandise featuring Song artwork, fulfilled through a third-party supplier.

2.8 "Service Model" means the tier of service selected by the Creator (Hands Off, Collab, or Hands On), which determines responsibilities and revenue share. See Section 6.

2.9 "NET Revenue" means the customer payment amount after deducting applicable fees, as defined in Section 7.

2.10 "Song NET Revenue" means the amount calculated as: Customer Subtotal (excluding tax) minus the Stripe Processing Fee.

2.11 "Merch NET Revenue" means the amount calculated as: Customer Subtotal (excluding tax) minus the Stripe Processing Fee minus Gelato's Total Fulfillment Cost (product cost + Gelato's applicable taxes + Gelato's shipping charge).

2.12 "Customer Subtotal" means the amount the Customer paid for their order, excluding any Stripe Tax collected on behalf of and remitted to the applicable tax authority. Stripe Tax is never included in revenue calculations.

2.13 "Stripe Processing Fee" means the exact payment processing fee charged by Stripe for the specific transaction, as recorded in the Stripe balance transaction for that order.

2.14 "Gelato Total Cost" means the total amount charged by Gelato for a specific merch order, including the product cost, any taxes Gelato charges, and Gelato's shipping fee.

2.15 "Brand Revenue Share" means the percentage of NET Revenue allocated to the Creator under their Service Model, as described in Section 6.

2.16 "Payout" means a payment of accumulated Brand Revenue Share from Scribe to the Creator.

2.17 "Attribution" means the permanent association between an End Customer and the Creator Storefront through which they first made a purchase, as described in Section 9.

2.18 "Scribe" or "Scribe Songs" means Kivfer Holdings Inc., the company that operates the Platform.

3. Creator Eligibility & Registration

3.1 Eligibility Requirements. To register as a Creator, you must:

Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
Be a human individual, a registered business entity, or a legally recognized organization
Have the legal right to offer services in your jurisdiction
Agree to this Agreement in full

3.2 Registration Process. Creator registration is available at scribesongs.com/creators. You will be asked to provide information about yourself or your organization, your creative focus, and your intended use of the Platform. Registration is subject to review and approval by Scribe.

3.3 Approval Discretion. Scribe reserves the right to approve or decline any Creator application at its sole discretion, with or without explanation. Submission of a registration does not guarantee approval.

3.4 Accurate Information. You agree to provide accurate, complete, and current information during registration and to update your information promptly if it changes. Providing false or misleading information may result in immediate account termination.

3.5 Payment Information. As part of registration, you must provide valid payment information to receive Payouts. You are responsible for maintaining accurate and current payment details.

4. Platform Services

Subject to this Agreement, Scribe provides Creators with access to the following:

4.1 Branded Storefront. A hosted Creator Storefront page on the Platform through which Customers can discover and purchase the Creator's song offering.

4.2 AI Production Pipeline. Access to Scribe's full AI pipeline for processing Customer interviews and generating draft lyrics and artwork, including integration with OpenAI (GPT-4/GPT-5 series, DALL-E/gpt-image), Google Gemini, and related tools.

4.3 Song Production Workflow. A managed workflow that takes Customer orders from interview through lyrics, artwork, song selection, and final delivery.

4.4 Merch Generation. Automated generation of print-on-demand merchandise options for Customers following song selection, fulfilled through Gelato.

4.5 Payment Processing. Integrated Stripe payment processing for all Customer transactions, including song purchases and merch orders.

4.6 Streaming Distribution. Distribution of completed songs to major streaming platforms (Spotify, Apple Music, and others) through DistroKid, under Scribe's account. (Hands Off and Collab models only — see Section 6.)

4.7 Customer Support Infrastructure. Platform-level customer support processes, refund handling, and dispute resolution.

4.8 Revenue Reporting. Access to a dashboard showing order activity, revenue calculations, and Payout history for your Creator Storefront.

Scribe reserves the right to modify, expand, or limit platform features with reasonable notice. Material reductions in services will be communicated as described in Section 20.

5. Sonic Profile Configuration

5.1 Creator Responsibility. You are responsible for configuring your Sonic Profile accurately and completely. Your Sonic Profile defines the creative direction of all songs produced through your storefront, including genre, style, tone, and thematic focus. The quality and relevance of songs produced for your Customers depends significantly on the accuracy of your Sonic Profile.

5.2 Honest Representation. Your Sonic Profile must honestly represent the type of songs and experience you intend to deliver. You may not configure a Sonic Profile that misrepresents your offering to Customers.

5.3 Scribe's Review Rights. Scribe reserves the right to review, request changes to, or decline any Sonic Profile that violates Platform guidelines, creates legal risk, or does not meet minimum quality standards. We will notify you if changes are required and provide reasonable time to make them.

5.4 Updates. You may update your Sonic Profile at any time through your Creator dashboard. Changes to your Sonic Profile will take effect for new orders placed after the update. Existing in-progress orders will be completed under the Sonic Profile active at the time of purchase.

5.5 Reference Content. If you submit brand assets, images, audio samples, or other reference materials as part of your Sonic Profile, you represent and warrant that you own or have the necessary rights to all such materials, and you grant Scribe a license to use those materials for operating your storefront and fulfilling Customer orders.

6. Service Models & Revenue Share

Creators select one of three service models at the time of registration. Each model defines the division of responsibilities between the Creator and Scribe, and the corresponding Brand Revenue Share percentage.

6.1 Hands Off

Creator Responsibilities: Configure Sonic Profile; review completed songs (optional)
Scribe Responsibilities: AI pipeline, song production, quality review, streaming distribution, Customer support
Brand Revenue Share: 40% of Song NET Revenue
This model is designed for Creators who want a fully managed service with minimal ongoing involvement.

6.2 Collab

Creator Responsibilities: Configure Sonic Profile; manage streaming distribution (Creator maintains their own DistroKid or equivalent account); upload distributed song files
Scribe Responsibilities: AI pipeline, song production, quality review, Customer support
Brand Revenue Share: 50% of Song NET Revenue
This model is designed for Creators who prefer to maintain direct control over their streaming presence and distribution.

6.3 Hands On

Creator Responsibilities: Configure Sonic Profile; produce songs (Creator takes the AI pipeline outputs and produces final audio themselves); manage streaming distribution
Scribe Responsibilities: AI pipeline for lyrics and artwork, Customer interview management, Customer support
Brand Revenue Share: 60% of Song NET Revenue
This model is designed for Creators who want to be directly involved in the production of songs and maintain full control over the creative and distribution process.

6.4 Song Regeneration Policy. End Customers may purchase paid song regenerations to receive new song variations. All paid regenerations are subject to the revenue sharing program described in this Agreement. Scribe may, at its sole discretion, issue a complimentary ("comped") song regeneration credit to a project — meaning 100% of the regeneration fee is waived for the Customer. No more than one (1) comped song regeneration will be issued per project, under any circumstances. When Scribe issues a comped regeneration credit, you agree to honour all production obligations associated with that regeneration under your Service Model (including producing and uploading new song variations if you are on the Hands On model) at no additional charge. Comped regenerations do not generate any Brand Revenue Share.

6.5 Merch Revenue Share. For all service models, merch revenue is split based on the brand_revenue_pct assigned to each merch template by Scribe. Merch revenue shares are typically lower than song revenue shares due to fulfillment and production costs absorbed by the platform. The applicable merch revenue share percentage for each product will be visible in your Creator dashboard.

6.6 Custom Arrangements. Scribe may enter into custom revenue share arrangements with specific Creators at its discretion. Any custom arrangement will be documented in a written addendum to this Agreement and will supersede the standard percentages in this Section for the specified Creator.

6.7 Platform Pricing & Commercial Term Changes. Scribe reserves the right, at its sole discretion and without prior written notice, to: (a) adjust the song pricing available on Creator Storefronts; (b) modify the name, structure, responsibilities, or revenue share percentages of any service model tier; (c) introduce new service model tiers or discontinue existing ones; and (d) adjust standard Brand Revenue Share percentages applicable to new orders. All such changes apply prospectively only — no modification to pricing, tier structure, or revenue share percentages will affect the terms applicable to any order that was placed and processed before the effective date of the change. The revenue share percentage and song price in effect at the time of each individual order are permanently fixed and govern that order's revenue calculation. While Scribe is not obligated to provide advance notice of any such change, Scribe may, at its sole discretion, consult with or notify Creators before implementing material changes. You may close your account pursuant to Section 13.2 at any time if you choose not to continue under modified terms.

7. Revenue Calculations

7.1 Song Revenue. Song NET Revenue is calculated as follows:

Song NET = Customer Subtotal − Stripe Processing Fee

Where:

Customer Subtotal = the amount the Customer paid for the song order, excluding any Stripe Tax collected and remitted to tax authorities
Stripe Processing Fee = the exact fee charged by Stripe for that transaction, as recorded in Stripe's balance transaction record

Song NET is calculated at the time of transaction. Brand Revenue Share = Song NET × Brand Revenue Share %.

7.2 Merch Revenue. Merch NET Revenue is calculated as follows:

Merch NET = Customer Subtotal − Stripe Processing Fee − Gelato Total Cost

Where:

Customer Subtotal = the amount the Customer paid for the merch order, excluding Stripe Tax
Stripe Processing Fee = the exact Stripe fee for that transaction
Gelato Total Cost = the total amount charged by Gelato for that specific order, including the product cost, any taxes Gelato charges, and Gelato's shipping fee

Merch NET is calculated after Scribe admin records the Gelato fulfillment cost for the order (see Section 8.6).

7.3 Tax Treatment. Stripe Tax, where applicable, is collected from the Customer on behalf of the applicable tax authority and remitted directly to that authority. Stripe Tax collected is never part of the Customer Subtotal and is never included in any revenue calculation. Neither Scribe nor the Creator has any claim to collected tax amounts.

7.4 Stripe Fee Calculation. The Stripe Processing Fee used in calculations is always the exact fee recorded in the Stripe balance transaction for the specific order — never an estimate. This ensures revenue calculations are based on actual transaction costs.

7.5 Worked Examples.

Example A — Song Order:

Customer pays CAD $79.00 for a song
Stripe Tax collected: CAD $10.27 (remitted to government — not included)
Customer Subtotal: CAD $79.00
Stripe Processing Fee: CAD $2.59
Song NET = $79.00 − $2.59 = $76.41
Creator on Hands Off (40%): $76.41 × 40% = $30.56
Scribe: $76.41 × 60% = $45.85

Example B — Merch Order:

Stripe Tax collected: CAD $7.02 (remitted to government — not included)

Merch NET = $54.00 − $1.87 − $28.50 = $23.63
Creator Brand Revenue Share (assume 20%): $23.63 × 20% = $4.73
Scribe: $23.63 × 80% = $18.90

8. Payout Terms

8.1 Payout Schedule. Scribe processes Creator Payouts on a weekly basis. Payouts are batched by Scribe and paid manually to Creators. The specific day of the week may vary. Scribe will communicate the standard Payout schedule to Creators via the dashboard or email.

8.2 Refund Window & Payout Eligibility. No order becomes payout-eligible until the 14-day Customer refund window has passed from the date of purchase. An order for which a Customer has not requested a refund within 14 days of purchase is considered settled and will be included in the next scheduled Payout batch.

8.3 Refund Clawbacks. If a Customer is issued a refund for an order after that order's Brand Revenue Share has already been included in a Payout, the amount of that Brand Revenue Share will be deducted as a negative adjustment from the Creator's next Payout batch. You are responsible for the return of any Brand Revenue Share associated with refunded orders.

8.4 Minimum Payout Threshold. There is no minimum Payout threshold. All payout-eligible amounts will be included in the next scheduled Payout batch.

8.5 Payment Method. Payouts are made to the banking or payment account you have registered in your Creator profile. Scribe will communicate the supported Payout methods (which may include bank transfer, Stripe Connect, or other methods) during onboarding and through your Creator dashboard. You are responsible for maintaining current and accurate payment details. Scribe is not responsible for Payouts sent to incorrect account information you have provided.

8.6 Merch Payout Timing. Merch NET Revenue cannot be calculated until Scribe admin records the Gelato fulfillment cost for the specific order. This is a manual step that occurs after Gelato processes and fulfills the order. Merch orders will not appear in Payout calculations until the Gelato cost has been recorded. Scribe will make reasonable efforts to record Gelato costs promptly following fulfillment.

8.7 Taxes on Payouts. You are solely responsible for any taxes applicable to Payouts you receive. Scribe does not withhold taxes from Payouts unless required to do so by law. You should consult a tax professional regarding your obligations.

9. Customer Attribution & Lifetime Revenue Rights

9.1 First-Touch Attribution. End Customers are permanently attributed to the Creator Storefront through which they made their first purchase on the Platform. This attribution is established at the time of the first transaction and does not change.

9.2 Lifetime Attribution. Brand Revenue Share applies to all Song and Merch orders placed by an attributed Customer, regardless of whether subsequent purchases are made directly through the Creator's Storefront or through another entry point on the Platform. An attributed Customer's purchases always generate revenue for the Creator to whom they are attributed, for as long as the Creator account remains active.

9.3 Attribution on Account Termination. If a Creator account is closed or terminated, Customer Attribution ends. Revenue from attributed Customers who make future purchases after the Creator account is closed will be retained by Scribe. Outstanding Payouts for pre-termination orders will be settled as described in Section 13.3.

9.4 No Solicitation of Cross-Platform Migration. Attribution rights are contingent on Customers remaining on the Platform. You may not solicit attributed Customers to purchase equivalent custom song services outside the Platform in a manner that circumvents this Agreement.

10. Works, Ownership & Intellectual Property

10.1 Scribe Owns All Songs. All songs produced through the Platform — including lyrics, composition, artwork, and recordings — are the exclusive property of Kivfer Holdings Inc. This ownership is absolute and applies regardless of which Service Model was used, how much creative direction the Creator provided, or how much personal content the End Customer contributed.

10.2 Creator Does Not Acquire Song Ownership. Participation as a Creator does not transfer, assign, or convey any copyright or ownership interest in any song to you. Your role is that of a distribution, presentation, and brand partner. You have no claim to the songs produced through your storefront.

10.3 Distribution & Presentation Rights. Under the applicable Service Model:

Hands Off: Scribe manages all distribution; Creator has presentation rights (may share song links, reference their brand's songs in marketing).
Collab: Creator manages distribution under their own account; Creator acquires distribution rights to the songs they distribute, but Scribe retains underlying copyright ownership. Creator may not assign or sublicense these distribution rights without Scribe's consent.
Hands On: Same as Collab, plus production rights (Creator produces the audio). Scribe retains copyright in the underlying composition and all platform-produced elements.

10.4 Creator Brand Assets. You retain ownership of your own brand identity, logos, imagery, and creative materials. By submitting these to the Platform, you grant Kivfer Holdings Inc. a non-exclusive, royalty-free license to use your brand assets solely for the purpose of operating your Creator Storefront and fulfilling the services described in this Agreement.

10.5 Customer Content. Personal stories and content shared by End Customers through the interview process belong to those Customers. You have no claim to Customer content. You may not access, use, copy, or reference individual Customer stories outside of what is incidentally visible to you through the Platform's workflow tools.

10.6 Streaming Rights & Royalties. All streaming rights and any streaming platform royalties for songs produced through the Platform are managed by Scribe through DistroKid. Streaming revenue belongs to Scribe and is distributed to Creators as part of their Brand Revenue Share on Song orders, not as a separate royalty stream.

10.7 Platform IP. The Scribe Songs name, logo, Platform software, processes, and all non-Creator content on the Platform are the exclusive property of Kivfer Holdings Inc. You may not use Scribe's intellectual property outside the Platform without express written permission.

10.8 Sublicense Grant — Hands On Model. When operating under the Hands On service model, you use your own third-party music generation accounts (including but not limited to Suno) to produce audio recordings from Scribe's AI-generated lyrics and creative output. By uploading any song file to the Platform, you grant Kivfer Holdings Inc. a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, display, perform, distribute, and commercially exploit the uploaded recording in any medium or format, without restriction, including the right to sublicense those rights to End Customers. This license is unlimited in scope, applies globally and in perpetuity, and survives termination of this Agreement. This grant is necessary for Scribe to fulfill delivery obligations to End Customers and to support the distribution and archiving of completed songs.

10.9 Commercial Distribution License — Collab and Hands On Models. For Creators operating under the Collab or Hands On service model who manage their own streaming distribution, Kivfer Holdings Inc. grants you a perpetual, worldwide, royalty-free, non-exclusive license to distribute and commercially exploit songs produced through the Platform through streaming platforms, digital download services, and other commercial channels. This license is personal to you, non-transferable, and does not include the right to assign, sublicense, or further transfer distribution rights to any third party without Scribe's prior written consent. Scribe retains all underlying copyright in the composition, lyrics, artwork, and any other Platform-produced elements. This license terminates if your Creator account is closed or terminated.

10.10 End Customer Commercial License. Each End Customer who purchases a song through the Platform receives a personal, perpetual, worldwide, royalty-free, non-exclusive license to listen to, share, perform, and otherwise commercially benefit from their song. This license is granted by Scribe directly to the End Customer and is not contingent on your continued participation as a Creator. Scribe is solely responsible for communicating the terms of the End Customer license to Customers.

10.11 Copyright Limitation Acknowledgement. Songs produced through the Platform are generated in whole or in part by artificial intelligence. Copyright protection for AI-generated works varies by jurisdiction and is not guaranteed. Scribe makes no representation that any song produced through the Platform is eligible for copyright registration, constitutes a unique or original work, or does not infringe on any pre-existing work. You acknowledge and agree that: (a) outputs may not be unique across the Platform or globally; (b) Scribe provides no warranty of non-infringement with respect to AI-generated content; and (c) Scribe's ownership claim under Section 10.1 does not constitute a guarantee that copyright vests in such works under applicable law.

11. Creator Obligations

11.1 Maintain Accurate Sonic Profile. You must keep your Sonic Profile current and accurate. If your creative direction, genre, or intended service changes, update your Sonic Profile promptly. Outdated or inaccurate Sonic Profiles that lead to Customer dissatisfaction are your responsibility.

11.2 Honest Representation. You must represent yourself and your Creator Brand accurately to Customers. You may not make false claims about your brand, qualifications, or the nature of the service offered through your storefront.

11.3 Non-Solicitation. For the duration of this Agreement and for 12 months following its termination, you agree not to directly solicit Platform Customers attributed to your account to purchase custom song or equivalent personalized music creation services from you or a third party outside the Platform. This restriction does not prevent you from general marketing that is not specifically directed at known Platform Customers.

11.4 Current Payment Information. You must maintain accurate and current banking or payment details in your Creator account. Scribe is not responsible for failed Payouts resulting from outdated payment information.

11.5 Legal Compliance. You are responsible for complying with all laws and regulations applicable to your business and your relationship with your audience, including consumer protection laws, advertising standards, and any sector-specific regulations. You must not use the Platform in any way that violates applicable law.

11.6 Content Standards. You must not submit, upload, or configure any content through your Sonic Profile or Creator account that:

Is illegal, defamatory, obscene, hateful, or threatening
Infringes on the intellectual property rights of any third party
Is deceptive, misleading, or designed to harm Customers
Contains malware, harmful code, or unauthorized scripts

11.7 Customer Relationship Integrity. You must not encourage Customers to submit false or misleading information in their interviews, manipulate the review or selection process, or take any action that undermines the integrity of the Platform's service delivery.

11.8 AI Disclosure Compliance. All songs produced through the Platform are created using artificial intelligence tools. When distributing songs through any streaming platform, digital distribution service, or other commercial channel — including but not limited to DistroKid, TuneCore, CD Baby, Spotify for Artists, and Apple Music for Artists — you must fully comply with all platform requirements for disclosing AI-generated content. Without limitation, this includes completing the "AI Credits" or equivalent AI-generated content disclosure fields required by DistroKid and any analogous disclosure mechanism required by other services at the time of distribution. You are solely responsible for monitoring and complying with each distribution platform's AI disclosure requirements, which may change over time. Distributing a song produced through the Platform without making required AI disclosures is a material breach of this Agreement and may also constitute a violation of the distribution platform's own terms of service.

11.9 Songwriter and Producer Credit Requirements. When distributing songs through any streaming platform or digital distribution service, you must enter songwriter and producer credit information accurately as required by that platform. For all songs produced through the Platform, the following rules apply:

Songwriter Credits:

You must include Dustin Refvik as a songwriter on all distributed songs. This credit reflects Scribe's creative and operational contribution to the songwriting process.
If an End Customer elected to receive songwriter credit during their project (as indicated by the songwriter credit display on your project detail page in the Creator portal), you must also include that End Customer's legal name as an additional songwriter credit.
You may not remove, omit, alter, or substitute any songwriter credit specified by Scribe without Scribe's prior written consent.
You must not enter any non-human entity (such as "AI," "ChatGPT," "Suno," or similar) in a songwriter credit field. Distribution platforms including DistroKid require real human names in songwriter fields, and entering automated system names is prohibited under those platforms' terms and under this Agreement.

Producer Credits (Collab and Hands On models only):

You must include your own artist or brand name as a producer credit on all songs you distribute.
You must also include Scribe Songs as a co-producer credit on all distributed songs. "Scribe Songs" (the brand name) is acceptable in producer fields on all major distribution platforms. This credit reflects Scribe's role in producing the AI-generated lyrics, artwork creative direction, and overall song concept.
End Customers are not listed as producers. Producer credits are limited to you and Scribe Songs.
You may not remove, omit, or alter the Scribe Songs producer credit without Scribe's prior written consent.

Neither songwriter nor producer credit requirements affect ownership of the song, which remains with Kivfer Holdings Inc. as described in Section 10.1.

Scribe will display the required songwriter and producer credit information on your project detail page in the Creator portal to make compliance straightforward.

12. Scribe's Obligations

12.1 Platform Operation. Scribe will operate the Platform with reasonable care and skill, and will make good faith efforts to maintain platform availability, reliability, and quality of the AI production pipeline.

12.2 Payout Processing. Scribe will process Payouts on the weekly schedule described in Section 8.1, for all payout-eligible orders. Scribe will make reasonable efforts to ensure accurate revenue calculations and timely payment.

12.3 Revenue Reporting. Scribe will provide Creators with access to a dashboard showing order activity, revenue calculations (including NET amounts, Stripe fees, and Gelato costs where applicable), and Payout history. Reports will be available within a reasonable time following each Payout batch.

12.4 Communication of Platform Changes. Scribe will make reasonable efforts to communicate material changes to the Platform, service model tiers, revenue share percentages, and Payout terms to Creators through the Platform dashboard or email. Scribe is not obligated to provide advance notice before implementing commercial term changes. See Section 6.6 regarding Scribe's sole discretion over pricing and commercial terms, and the prospective-only nature of all such changes.

12.5 Customer Support. Scribe will handle Platform-level customer support, including refund processing, order disputes, and service quality issues. Creators are not expected to handle Customer refund or dispute requests directly.

13. Platform Access & Termination

13.1 Suspension and Termination by Scribe. Scribe may suspend or terminate a Creator's access to the Platform immediately and without prior notice if:

You materially breach this Agreement
You engage in fraudulent activity or violate applicable law
Your continued presence poses a risk of harm to Customers or the Platform
You submit content that violates Section 11.6

For less severe violations, Scribe will where practicable provide written notice and a reasonable opportunity to cure before taking termination action.

13.2 Termination by Creator. You may close your Creator account at any time by providing 30 days written notice to support@scribesongs.com. During the notice period, you must continue to fulfill your obligations under this Agreement. New orders may continue to be accepted during the notice period unless otherwise agreed.

13.3 Obligations on Termination. Upon termination or account closure, the following apply:

All in-progress Customer orders at the time of termination will be completed by Scribe (Scribe will assume full responsibility for production and delivery of in-progress orders, with no further Creator involvement required).
Any outstanding Payout amounts for settled, payout-eligible orders will be paid to you within 60 days following the effective date of termination.
Refund clawback obligations (Section 8.3) survive termination.
Non-solicitation obligations (Section 11.3) survive termination for 12 months.

13.4 Effect on Existing Customers. Termination of a Creator account does not affect End Customers' access to songs already purchased and delivered. Customers' personal licenses to their songs remain valid. Scribe assumes ongoing maintenance and support obligations for those songs.

14. Prohibited Conduct

In addition to the obligations in Section 11, you agree not to:

14.1 Attempt to reverse engineer, decompile, disassemble, or extract the source code of any part of the Platform.

14.2 Use automated tools, bots, or scripts to interact with the Platform or scrape data without Scribe's written consent.

14.3 Circumvent or attempt to circumvent any security, access control, or revenue tracking mechanism of the Platform.

14.4 Manipulate or falsify order data, revenue reports, or Payout calculations.

14.5 Access another Creator's account or data without authorization.

14.6 Use the Platform to promote competing services in a way that directs Platform Customers away from the Platform.

14.7 Create multiple Creator accounts without Scribe's written consent.

14.8 Make representations to Customers that are inconsistent with Scribe's Customer Terms of Service or this Agreement.

Violations of this Section may result in immediate account termination, forfeiture of unpaid Payouts, and legal action where appropriate.

15. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KIVFER HOLDINGS INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Scribe does not warrant that the Platform will be uninterrupted, error-free, or free of defects. Scribe does not warrant any specific business outcome, revenue level, or number of Customer orders. The success of a Creator's storefront depends on many factors outside Scribe's control, including market conditions, Creator marketing efforts, and Customer demand.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KIVFER HOLDINGS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL SCRIBE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE GREATER OF (A) THE TOTAL PAYOUTS SCRIBE HAS MADE TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND CANADIAN DOLLARS (CAD $1,000.00).

NOTHING IN THIS SECTION LIMITS LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE EXCLUDED BY APPLICABLE LAW.

17. Indemnification

You agree to indemnify, defend, and hold harmless Kivfer Holdings Inc. and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your breach of this Agreement
Your violation of any applicable law or regulation
Content or materials you submit to the Platform
Claims by your audience, followers, or any third party arising from your marketing of your Creator Storefront
Any misrepresentation you make to Customers or prospective Customers
Your infringement of any third party's intellectual property or other rights

18. Confidentiality

18.1 Confidential Information. In the course of using the Platform, you may have access to information that is confidential to Scribe Songs, including but not limited to: Platform pricing structures and revenue share rates not publicly disclosed, operational processes and AI pipeline methodology, information about other Creator accounts, Customer data (beyond what is necessary for your own storefront operations), and non-public Platform roadmaps or features.

18.2 Obligations. You agree to keep all Confidential Information strictly confidential and not to disclose it to any third party without Scribe's prior written consent. You will use Confidential Information only as necessary to perform your obligations under this Agreement.

18.3 Exclusions. Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) you can demonstrate you independently knew before receiving it from Scribe; (c) you are required to disclose by law or court order (in which case you will provide prompt written notice to Scribe if legally permissible).

18.4 Survival. Confidentiality obligations survive termination of this Agreement for a period of 3 years.

19. Governing Law & Dispute Resolution

19.1 Governing Law. This Agreement is governed by and construed in accordance with the laws of the Province of Manitoba and the applicable federal laws of Canada, without regard to conflict of law principles.

19.2 Informal Resolution. The parties agree to attempt to resolve any dispute arising out of or related to this Agreement informally before initiating formal proceedings. Either party may initiate informal resolution by providing written notice to the other party, after which the parties will negotiate in good faith for a period of at least 30 days.

19.3 Jurisdiction. If a dispute cannot be resolved informally, both parties agree that any legal proceedings shall be brought exclusively in the courts of the Province of Manitoba, Canada. Both parties consent to the jurisdiction of those courts.

19.4 Injunctive Relief. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction where necessary to prevent irreparable harm.

20. Amendments

20.1 General Amendments. Scribe may amend this Agreement at any time by providing written notice to Creators. The updated Agreement will be posted at scribesongs.com/legal/creator-agreement and emailed to registered Creators.

20.2 Commercial Term Changes. Amendments to commercial terms — including service model tier structures, revenue share percentages, and song pricing — may be implemented by Scribe at any time and without advance written notice, at Scribe's sole discretion. All such amendments apply prospectively only: orders placed and processed before the effective date of an amendment are governed by the terms in effect at the time of purchase. Scribe may, at its discretion, consult with Creators or provide advance notice of material commercial changes, but is not obligated to do so.

20.3 Acceptance. Your continued use of the Platform after the effective date of an amendment constitutes your acceptance of the updated Agreement. If you do not agree to the amended terms, you must close your account pursuant to Section 13.2 before the effective date.

21. Entire Agreement

This Agreement, together with any written addenda or custom arrangements signed by both parties, constitutes the entire agreement between you and Kivfer Holdings Inc. with respect to your participation as a Creator on the Platform. It supersedes all prior negotiations, representations, understandings, or agreements, whether written or oral, relating to the same subject matter.

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

The failure of either party to enforce any provision of this Agreement will not constitute a waiver of the right to enforce that provision in the future.
