Scribe Songs — Customer Terms of Service

1. Introduction & Agreement

Welcome to Scribe Songs. These Terms of Service ("Terms") govern your access to and use of the Scribe Songs platform, including all services, features, and content available at scribesongs.com and associated subdomains (collectively, the "Platform").

Scribe Songs is operated by Kivfer Holdings Inc., a corporation registered in the Province of Manitoba, Canada ("we," "us," or "our").

By creating an account, purchasing a service, or otherwise using the Platform, you ("Customer," "you") agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms form a legally binding agreement between you and Kivfer Holdings Inc. Please read them carefully.

2. Definitions

2.1 "Platform" means the Scribe Songs website, web application, and all associated services available at scribesongs.com and its subdomains.

2.2 "Scribe Songs" means the service brand operated by Kivfer Holdings Inc.

2.3 "Kivfer Holdings Inc." means the legal entity that owns and operates Scribe Songs, incorporated in Manitoba, Canada.

2.4 "Creator Brand" means an individual, artist, organization, or business that has been approved by Scribe Songs to offer custom song creation services through a branded storefront on the Platform (e.g., scribesongs.com/brandname).

2.5 "Customer" means any individual who purchases a song, merch, or other service through the Platform.

2.6 "Collaborator" means an individual who is invited by a Customer to participate in the song creation process by completing a separate AI-guided interview. Collaborators access the Platform and contribute personal story content without making a purchase. For the purposes of these Terms, Collaborators are subject to the same obligations and protections as Customers with respect to their use of the Platform, their submitted content, and these Terms generally. References to "you" in these Terms apply equally to Customers and Collaborators to the extent relevant to their respective roles.

2.7 "Song" means the custom, AI-assisted musical composition produced for a Customer through the Platform, including lyrics, artwork, and published recording.

2.8 "Merch" means print-on-demand physical merchandise (such as hoodies, t-shirts, canvas prints, and sweaters) featuring a Customer's song artwork, fulfilled through a third-party supplier.

2.9 "Interview" means the AI-driven conversational process through which a Customer or Collaborator shares their personal story to inform the Song creation.

2.10 "Regeneration Credit" means a paid add-on purchase that allows a Customer to generate a new version of a previously approved deliverable, such as lyrics, artwork concepts, or song variations.

2.11 "Sonic Profile" means the creative configuration established by a Creator Brand that defines the style, genre, and focus of songs produced through their storefront.

2.12 "Service" means any product, feature, or deliverable available for purchase through the Platform, including Songs, Merch, and Regeneration Credits.

3. Service Description

Scribe Songs provides a technology platform that enables Customers to commission custom songs inspired by their personal stories. The process generally works as follows:

3.1 A Customer visits a Creator Brand's storefront on the Platform and purchases a custom song.

3.2 The Customer completes an AI-guided interview, sharing the personal story or experience they want reflected in their song.

3.3 Scribe Songs' AI pipeline processes the interview to generate draft lyrics and song artwork for review.

3.4 A creator produces the song using AI-assisted music generation tools, resulting in multiple song variants for the Customer to choose from.

3.5 The Customer selects their preferred song variant.

3.6 Scribe Songs distributes the finished song to major streaming platforms (including Spotify and Apple Music) through its distribution partner.

3.7 Following song selection, Customers may optionally purchase custom print-on-demand merchandise featuring their song artwork.

3.8 Collaborators. A Customer may optionally invite one or more Collaborators to participate in the song creation process. Each Collaborator completes their own AI-guided interview, and those stories are combined with the Customer's interview to inform the song. Collaborators must create an account and agree to these Terms before participating. The Customer is responsible for ensuring that any individuals they invite understand the process and consent to participate. Collaborators do not have ownership or purchase rights over the resulting song — those belong to the Customer and Scribe Songs as described in Section 6.

The specific features and timeline of service delivery may vary depending on the Creator Brand and service model selected.

4. Account Registration

4.1 Eligibility. You must be at least 13 years of age to create an account or use the Platform. By registering, you represent and warrant that you meet this requirement.

4.2 Accuracy. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@scribesongs.com if you suspect unauthorized access to your account.

4.4 One Account Per Customer. Each individual may maintain only one active customer account. We reserve the right to suspend duplicate accounts.

5. Song Purchase & Creation Process

5.1 Purchase. Song orders are placed through a Creator Brand's storefront. All prices are displayed in Canadian dollars (CAD) unless otherwise stated. Payment is processed by Stripe at the time of purchase.

5.2 Interview. After purchase, you will be directed to complete an AI-guided interview. Your responses form the foundation of your custom song. Please provide thoughtful, honest responses — the quality and depth of your interview directly influences the song produced.

5.3 AI Pipeline. Your interview content is processed through Scribe Songs' AI pipeline to generate draft lyrics and song artwork. This process is largely automated and typically takes a short period to complete. You will be notified when drafts are ready for your review.

5.4 Song Variants. The creator associated with your purchase will produce your song using AI-assisted music generation, resulting in multiple variants. You will be presented with these variants and invited to select your preferred version.

5.5 Selection & Finalization. Once you select your winning song variant, that selection is final. The selected song will be prepared for distribution to streaming platforms.

5.6 Publishing Timeline. After your song selection, distribution to streaming platforms typically takes 2–7 business days, though timelines depend on third-party distribution partners and are not guaranteed. We will notify you when your song is live.

5.7 Revisions. If you are dissatisfied with the produced content before final selection, you may request revisions within the limits provided by the Creator Brand's offering. Revision limits vary by service tier and will be communicated at the time of purchase. Revision requests do not extend the refund window.

6. Ownership & Licensing

6.1 Scribe Songs Owns the Song. All songs produced through the Platform — including lyrics, composition, artwork, and recordings — are owned exclusively by Kivfer Holdings Inc., doing business as Scribe Songs. This applies regardless of the level of personal content you contributed through your interview.

6.2 Your Personal License. Upon completion of your song and subject to your compliance with these Terms, Scribe Songs grants you a perpetual, non-exclusive, non-transferable, royalty-free license to use your song for personal, non-commercial purposes. This includes:

  • Personal listening and enjoyment
  • Sharing on personal social media profiles (non-monetized)
  • Playback at personal, non-ticketed events (family gatherings, personal celebrations)

6.3 Commercial Use Prohibited. You may not use your song or associated artwork for any commercial purpose without express written permission from Kivfer Holdings Inc. Commercial uses include but are not limited to: monetized social media, advertising, broadcast, licensing to third parties, use in paid products or services, or sync licensing.

6.4 No Ownership Transfer. Nothing in these Terms transfers copyright or any ownership interest in your song to you. The personal license granted in Section 6.2 is a license only, not an ownership right.

6.5 Streaming Access. Your song will be published to major streaming platforms where it will be publicly accessible under Scribe Songs' account. You may share the streaming link freely for personal use in accordance with Section 6.2.

7. Content You Submit

7.1 Your Story Is Yours. The personal stories, experiences, memories, and other information you share during the interview process remain your own content. You retain all rights to your underlying story.

7.2 License to Scribe Songs. By submitting content through the Platform, you grant Kivfer Holdings Inc. a non-exclusive, worldwide, royalty-free license to use, process, and incorporate that content solely for the purpose of creating your song. This license is limited to producing and delivering the services you have purchased.

7.3 No Public Use Without Approval. Scribe Songs will not publicly attribute your song, use your name, likeness, or any personally identifying information in marketing materials, or publish identifiable details about your story without your prior written approval. Song artwork generated from your interview will not include your recognizable image unless you explicitly provide and approve a photo for that purpose.

7.4 Accuracy. You represent that the content you submit is truthful to the best of your knowledge. You agree not to submit content that is defamatory, harassing, unlawful, or that infringes on the rights of others.

7.5 Content Storage. Your interview content and associated song materials will be stored as described in our Privacy Policy. We retain project data for 24 months following service completion.

8. Use of AI Tools

8.1 AI-Assisted Creation. Scribe Songs uses artificial intelligence tools throughout the creation process, including but not limited to:

  • OpenAI (GPT-4/GPT-5 series, DALL-E / gpt-image series) for lyrics generation and image generation
  • Google Gemini for supplementary image generation
  • AI-assisted music generation tools used by creators to produce song audio

8.2 AI Content Disclosure. You acknowledge and agree that the songs, lyrics, and artwork produced through the Platform are created with substantial AI assistance. This is a core feature of the service, not a limitation. The involvement of AI tools does not affect your personal license or the quality guarantee of the service.

8.3 AI Limitations. AI-generated content may occasionally produce unexpected results. We review outputs as part of our workflow, but you acknowledge that AI tools are not infallible. If you receive content you believe is inappropriate or significantly off-target, please contact us at support@scribesongs.com before your song selection is finalized.

8.4 Third-Party AI Policies. Your content may be processed by third-party AI providers subject to their own terms and privacy policies. We select partners with appropriate data handling practices, as described in our Privacy Policy. We do not knowingly allow third-party AI providers to use your personal story content for training their models beyond what is required for service delivery.

9. Merch Purchase & Fulfillment

9.1 Optional Add-On. Merchandise featuring your song artwork is available for optional purchase following your song selection. Merch is not included in your song purchase unless explicitly stated.

9.2 Print-on-Demand Fulfillment. All merchandise is custom printed on demand and fulfilled by our third-party fulfillment partner, Gelato. Orders are sent to Gelato after your purchase is confirmed.

9.3 Production & Shipping. Merch production typically takes 3–7 business days following order placement. Shipping times vary by destination, carrier, product type, and seasonal demand. Typical estimated delivery ranges (from order placement) are:

  • Canada & United States: approximately 7–14 business days
  • International: approximately 10–21 business days

These are estimates only and are not guaranteed delivery dates. Factors outside our control — including carrier delays, customs processing, weather, holidays, and Gelato production capacity — may cause longer delivery times. Scribe Songs is not responsible for delays caused by Gelato, shipping carriers, or customs processes.

9.4 Tracking. Once your order ships, we will make tracking information available in your order history when provided by the carrier. Please allow time for tracking to update, as some carriers experience delays in scan activity.

9.5 Shipping Address. You are responsible for providing an accurate and complete shipping address at checkout. If an order is returned to Gelato due to an incorrect or incomplete address you provided, additional shipping charges may apply to reship the order.

9.6 International Orders — Customs & Duties. Orders shipped outside Canada may be subject to customs duties, import taxes, or other fees imposed by the destination country. These charges are the sole responsibility of the customer and are not included in the product or shipping price displayed at checkout. Scribe Songs has no control over customs processes and cannot predict or guarantee clearance timelines.

9.7 Lost or Significantly Delayed Packages. If your package appears lost or significantly delayed beyond the estimated delivery window, contact us at support@scribesongs.com and we will work with Gelato and the carrier to investigate. We are not liable for losses caused by carrier error but will make reasonable efforts to pursue a resolution on your behalf.

9.8 Split Shipments. Some orders containing multiple items may arrive in separate packages depending on product type, fulfillment location, or Gelato capacity. This is normal and does not indicate a missing item.

9.9 Custom Items. All merchandise is produced specifically for your order based on your song artwork. As custom goods, merchandise is generally not eligible for return or exchange except as described in Section 11 (Refunds — Merch).

9.10 Merch Payments. Merch purchases are processed separately from song purchases and are subject to applicable taxes calculated by Stripe Tax based on your shipping address. Tax is collected by Stripe and remitted to the relevant government authority.

10. Refunds — Songs

10.1 Refund Window. You may request a full refund of your song purchase within 14 days of the original purchase date, provided your song has not yet been published to streaming services.

10.2 Post-Publication. Once your selected song has been published to streaming platforms, the service is considered complete and no refund will be issued. Publication is a terminal step — a live song on streaming services cannot be "unpublished" on demand.

10.3 Pre-Publication Dissatisfaction. If you are dissatisfied with the song content before publication, we encourage you to first request revisions within the limits of your service tier. If revisions do not resolve your concern and you are within the 14-day window, you may request a full refund.

10.4 How to Request. To request a refund for a song order, contact us at support@scribesongs.com with your order details. Approved refunds will be processed to your original payment method within 5–10 business days.

10.5 Non-Refundable Situations. Refunds will not be issued in the following circumstances:

  • The song has been published to streaming services
  • The 14-day refund window has passed
  • You have selected your winning song variant and confirmed your selection

11. Regeneration Credits — Non-Refundable

11.1 What Regeneration Credits Are. Regeneration Credits are optional paid add-ons that allow you to generate a new version of an already-approved deliverable — such as a fresh set of lyrics, new artwork concepts, or additional song variations. Each credit covers one regeneration of the specified type.

11.2 Non-Refundable. All Regeneration Credit purchases are final and non-refundable, without exception. When you purchase a Regeneration Credit and confirm the regeneration, the AI generation process executes immediately. The computational work is performed at the time of your request and the service is delivered in full — generating a new result on demand — regardless of whether you prefer the new version over the original. This mirrors standard industry practice for AI generation services, where the service is the generation itself, not a guaranteed subjective outcome.

11.3 No Refund for Outcome Preference. You acknowledge that:

  • AI-generated content is inherently non-deterministic — results vary and cannot be predicted
  • Preferring the original version over the newly generated one is not grounds for a refund
  • Not being satisfied with the specific result does not constitute a service failure

11.4 Technical Failures. If a Regeneration Credit fails to complete due to a verified technical fault on our end (platform error, infrastructure outage), we will re-run the generation at no additional charge or issue a credit at our discretion. Contact support@scribesongs.com if you believe this applies to your situation.

12. Refunds — Merch

11.1 Custom Goods Policy. Because all merchandise is custom printed to your specific order, we do not accept returns or exchanges for:

  • Size selection errors
  • Change of mind
  • Buyer's remorse
  • Colour or design variations that are within normal print production tolerances

11.2 Defective, Damaged, or Wrong Items. If your merchandise arrives defective, damaged in transit, or is materially different from what was ordered, you may request a replacement or refund. To be eligible:

  • You must contact us at support@scribesongs.com within 3 days of delivery
  • You must include photos documenting the defect, damage, or incorrect item
  • The item must not have been worn, washed, or used (except to identify the defect)

11.3 Replacement or Refund. Upon approval of a defect/damage/wrong item claim, we will, at our discretion, issue a replacement item or a refund to your original payment method. Replacements are subject to production and shipping timelines.

11.4 Non-Cancellable Orders. Once a merch order enters production at Gelato, it cannot be cancelled. We will make reasonable efforts to catch cancellation requests before production begins, but we cannot guarantee this.

13. Streaming Distribution

12.1 Distribution Partner. Scribe Songs distributes songs to streaming platforms through DistroKid. Distribution is subject to DistroKid's terms and the policies of each individual streaming platform.

12.2 Minimum Distribution Period. Scribe Songs commits to maintaining your song on streaming platforms for a minimum of 5 years from the date of publication, provided the Platform remains operational and our distribution account remains in good standing.

12.3 Platform Dependencies. Availability of your song on specific platforms (Spotify, Apple Music, etc.) depends on those platforms' policies and acceptance criteria, which are outside our control. We cannot guarantee acceptance by any specific platform.

12.4 Platform Changes. Streaming platforms may change their policies, remove content at their discretion, or cease operations. Scribe Songs is not liable for the decisions or actions of third-party streaming platforms.

12.5 Beyond Minimum Period. After the 5-year minimum period, Scribe Songs reserves the right to remove songs from distribution. We will make reasonable efforts to notify you before removing your song.

14. Prohibited Uses

You agree not to use the Platform to:

14.1 Submit content that is defamatory, harassing, threatening, obscene, hateful, or unlawful.

14.2 Infringe upon the intellectual property, privacy, or other rights of any person or entity.

14.3 Submit false or misleading information.

14.4 Attempt to reverse engineer, scrape, or extract data from the Platform without authorization.

14.5 Use automated tools, bots, or scripts to interact with the Platform without our written consent.

14.6 Circumvent or attempt to circumvent any security feature of the Platform.

14.7 Use the Platform for any commercial purpose beyond your personal license rights.

14.8 Share your account credentials with others or allow others to use your account.

14.9 Engage in any conduct that disrupts or interferes with the Platform's operation or other users' experience.

Violations of these prohibitions may result in immediate account suspension or termination, forfeiture of pending services, and potential legal action.

15. Intellectual Property

15.1 Platform IP. The Scribe Songs name, logo, website design, software, processes, and all other Platform content not specifically licensed to you are the exclusive intellectual property of Kivfer Holdings Inc. or its licensors.

15.2 No Unauthorized Use. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform IP without our express written permission.

15.3 Feedback. If you provide feedback, suggestions, or ideas about the Platform, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

16. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KIVFER HOLDINGS INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any specific result will be achieved through use of the Platform, including any specific artistic outcome for your song.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KIVFER HOLDINGS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SCRIBE SONGS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages, so some of the above limitations may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless Kivfer Holdings Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the Platform or Services
  • Your breach of these Terms
  • Content you submit through the Platform
  • Your violation of any law or the rights of any third party

19. Governing Law & Dispute Resolution

19.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the Province of Manitoba and the applicable federal laws of Canada, without regard to conflict of law principles.

19.2 Dispute Resolution. We encourage you to contact us first at support@scribesongs.com to attempt to resolve any dispute informally. Most concerns can be addressed quickly through direct communication.

19.3 Jurisdiction. If a dispute cannot be resolved informally, you agree that any legal proceedings shall be brought exclusively in the courts of the Province of Manitoba, Canada. You consent to the personal jurisdiction of those courts.

19.4 Consumer Rights. Nothing in these Terms limits any rights you may have under applicable Canadian consumer protection legislation.

20. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (at the address on your account) and/or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those changes.

If you do not agree to updated Terms, you must stop using the Platform and may request account closure by contacting support@scribesongs.com.
